This End User License Agreement ("Agreement" or "EULA") is a legal agreement between you ("User," "you," or "your") and Sudhir Kurup d/b/a MemoraSync, a sole proprietorship located in Collierville, Tennessee, USA ("MemoraSync," "we," "us," or "our"), governing your use of the MemoraSync mobile application (the "App") on iOS or Android devices.
By downloading, installing, or using the App, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
If you do not agree, do not download, install, or use the App.
1. License Grant
Subject to this EULA, MemoraSync grants you a limited, non-exclusive, non-transferable, revocable license to:
- Download and install the App on a device you own or control
- Use the App for your personal, non-commercial purposes
This license does not grant you any rights to:
- Modify or create derivative works
- Reverse engineer, decompile, or attempt to extract source code
- Rent, lease, loan, sell, sublicense, or distribute the App
- Circumvent security features or access controls
The App is licensed, not sold.
2. Scope of Service
The App provides:
- Encrypted personal journaling
- Goals and habit tracking
- Reminders for diary entries (Premium feature)
- AI-generated summaries and insights
- Calendar and device integrations
- Search and recall tools
- Syncing across devices
Use of the App also requires compliance with:
- Our Terms and Conditions (available at www.memorasync.com/terms-conditions)
- Our Privacy Policy (available at www.memorasync.com/privacy-policy)
3. Account Security
You are responsible for:
- Keeping your login credentials confidential
- All activity on your account
- Maintaining access to your registered email address if you enable Multi-Factor Authentication (MFA)
We offer optional Multi-Factor Authentication (MFA) via email to enhance account security. If you enable MFA:
- You will receive a 6-digit verification code via email each time you log in (unless you've trusted your device)
- Verification codes expire after 10 minutes
- You may choose to trust your device for 30 days to skip MFA verification on that device
- All trusted devices are automatically revoked if you change your password or email address
- You are responsible for ensuring you have access to your registered email address to receive verification codes
If you believe your account has been compromised, notify us immediately at support@memorasync.com.

All of which are incorporated into this Agreement by reference.
The software may analyze user-provided content locally or remotely to enable search, recall, and organizational features. Such processing occurs solely within the context of the user's account and does not result in public disclosure of content.
3. Account Requirements
To use the App, you may need a MemoraSync account. You agree to:
- Provide accurate and truthful information
- Maintain the confidentiality of your login credentials
- Accept responsibility for all activities under your account
MemoraSync may suspend or terminate accounts that violate this EULA or our policies.
4. Subscriptions and Payments
Certain features require a paid subscription.
4.1 In-App Purchases and Subscription Management
If you subscribe to MemoraSync through the Apple App Store or Google Play Store:
- Store-managed subscriptions: Your payment and renewal terms are governed by the applicable platform (Apple or Google). Billing is handled exclusively by the respective store.
- Cancellation through stores: Cancellation of such subscriptions must be performed through your Apple or Google account settings. MemoraSync cannot cancel app store subscriptions on your behalf.
- Access continues until period end: When you cancel a subscription purchased through an app store, access will continue until the end of the paid subscription term, consistent with the store's policies. You will not be charged again, but you will retain access until the subscription period expires.
- Refunds handled by stores: Refunds for in-app purchases are handled solely by Apple or Google according to their policies. MemoraSync does not process refunds for in-app purchases and cannot override store refund decisions.
- No prorated refunds: App stores do not provide prorated refunds for unused time when canceling subscriptions. This is consistent with industry standards and store policies.
- Premium data retention grace period: As a courtesy, we may retain premium feature data (such as calendar events, semantic search embeddings, smart device data, and AI interactions) for up to 31 days after your subscription expires. This grace period allows you to resubscribe without losing your premium data. After this period, premium feature data will be automatically deleted. This retention is provided as a courtesy and may be modified or discontinued at any time.
- Feature Limitations: Certain features, including but not limited to voice features, automated summaries, AI chat, semantic search, and advanced integrations, may be limited or unavailable based on your subscription tier. Free tier users may have restricted access to premium features. We reserve the right to modify feature availability, usage limits, or subscription requirements at any time.
Important: Subscriptions purchased through third-party app stores (Apple App Store, Google Play) are governed by their respective payment and cancellation policies.
4.2 Web Purchases
If you purchase a subscription on the MemoraSync website, billing and refund terms are governed by our Terms & Conditions, which include detailed information about subscription cancellation, access retention, and refund policies.
5. AI and Automated Features (Important Disclaimer)
The App uses artificial intelligence to generate summaries, insights, and memory recommendations.
You acknowledge and agree that:
- AI-generated content may be incomplete, inaccurate, outdated, or misleading
- AI output is provided for personal reflection only
- The App does not provide medical, legal, psychological, financial, or professional advice
- MemoraSync is not liable for decisions, actions, or interpretations based on AI output
- AI-powered features operate on user-provided data (including clipped content) and may return inaccurate, incomplete, or outdated information
You must not rely on the App for factual accuracy, diagnosis, emergency, legal decisions, or critical life events.
AI-generated summaries or reflections are provided for informational and personal reflection purposes only and are not intended as medical or professional advice.
Medical Disclaimer: MemoraSync is not a medical service, and nothing in the App constitutes medical, psychological, or health advice. Automated summaries, wellness reflections, insights, or any other content generated by the App are not intended to diagnose, treat, cure, or prevent any disease or condition. If you have health concerns, please consult a qualified healthcare professional. Do not use the App for emergency medical situations.
Voice-based responses and transcriptions are generated automatically and should not be relied upon as professional, legal, or medical advice.
5.1 Voice Features
The App may offer voice features such as voice-to-text transcription and text-to-speech playback. These features are provided for convenience and personal use only.
Automated Processing: Voice transcriptions and responses are generated using automated systems and may contain errors, inaccuracies, or misinterpretations. Voice responses and transcriptions are automated and may contain errors. You should verify important information and not rely solely on automated voice features for critical decisions or professional purposes.
Subscription Limitations: Voice features may be subject to usage limits based on your subscription tier. Free tier users may have limited access to voice features, while premium subscribers may have expanded access. We reserve the right to modify, limit, or discontinue voice features at any time.
Example Content Disclaimer: Voice features may process and generate content based on your diary entries, reminders, or other stored content. This content may include personal, sensitive, or third-party information. MemoraSync does not review, validate, or verify the accuracy of content processed through voice features.
5.2 User-Provided Content Storage
The application may store and display user-provided content verbatim, including third-party text, clipped content, and reference material. MemoraSync does not endorse, review, validate, or interpret such content. Content is stored exactly as you provide it, without modification, redaction, or verification.
You are solely responsible for the accuracy, legality, ownership, and appropriateness of any content you choose to store, including content clipped from third-party sources such as emails, articles, or documents.
5.3 Automated Summaries & Subscription Limitations
The App may use AI-powered systems to automatically generate summaries, insights, and reflections from your diary entries, goals, habits, and connected device data. These automated summaries are created for your personal use and reflection only. They are not medical, psychological, legal, financial, or professional advice.
You control whether these automated summaries are generated or displayed, and you may disable them at any time through your account settings. Automated summaries may be inaccurate, incomplete, or outdated, and you should not rely on them for critical decisions or professional advice.
Feature Limitations: Certain features, including but not limited to voice features, automated summaries, AI chat, semantic search, and advanced integrations, may be limited or unavailable based on your subscription tier. Free tier users may have restricted access to premium features. We reserve the right to modify feature availability, usage limits, or subscription requirements at any time.
6. Third-Party Services and Integrations
The App may integrate with:
- Calendar providers (Google, Apple, Outlook)
- Wearable devices and sensors
- Smart devices or other services you authorize
You acknowledge:
- MemoraSync does not control third-party services
- Third-party outages, API changes, permissions changes, or discontinuations may affect the App's functionality
- MemoraSync is not responsible for data loss, inaccuracies, or failures related to third-party integrations
Your use of third-party services is governed by their own terms and privacy policies.
7. Data Security & Privacy
Your use of the App is subject to the MemoraSync Privacy Policy, which explains:
- What data we collect
- How it is used
- How it is stored (including AES-256-GCM encryption)
- Your data rights
While MemoraSync uses strong encryption and safeguards, no method of storage or transmission is 100% secure, and you use the App at your own risk.
8. Restrictions on Use
You may not:
- Use the App for unlawful, harmful, or abusive purposes
- Attempt to access accounts or systems you do not own
- Upload malicious code
- Interfere with service availability
- Exploit the App commercially
- Use or reproduce any MemoraSync intellectual property without permission
Doing so may result in immediate termination of your license and account.
9. Intellectual Property
All intellectual property in the App — including software, designs, text, images, trademarks, and patent-pending systems — is owned by MemoraSync.
You do not acquire ownership rights by using the App.
10. Termination
This EULA is effective until terminated by you or MemoraSync.
MemoraSync may suspend or terminate your access at any time if:
- You violate this Agreement
- You misuse the App
- Continued access poses legal, security, or operational risk
Termination ends your right to use the App. Certain provisions (e.g., liability limits, disclaimers, indemnification) survive termination.
11. Post-Deletion Data Handling
Upon deletion of your account, MemoraSync immediately removes your data from active systems. Encrypted copies remain in protected storage for up to 30 days, after which they are scheduled for permanent deletion. During this 30-day window, you may contact support to request account recovery.
Encrypted system backups may include your data for up to 90 days, after which they are automatically purged as part of routine backup cycles.
After these retention periods, your data is permanently and irreversibly deleted from all systems.
12. Disclaimers (Very Important)
THE APP IS PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS."
MEMORASYNC DISCLAIMS ALL WARRANTIES, INCLUDING:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Data accuracy
- Compatibility with any specific device or OS
- Uptime or uninterrupted service
- Accuracy of AI-generated content
You use the App at your own risk.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
MEMORASYNC IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
WE ARE NOT RESPONSIBLE FOR:
- Loss of data
- AI inaccuracies
- Third-party outages or API changes
- Device or OS incompatibilities
- Downtime or service interruptions
OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE PRIOR THREE (3) MONTHS.
Some jurisdictions do not allow certain limitations; if so, our liability is limited to the maximum extent permitted.
14. Indemnification
You agree to indemnify and hold harmless MemoraSync and its owner from any claims arising out of:
- Your use or misuse of the App
- Your violation of this EULA
- Your infringement of third-party rights
15. Governing Law & Dispute Resolution
This EULA is governed by the laws of the State of Tennessee, without regard to conflicts of law.
All disputes shall be resolved through binding arbitration in Tennessee, except either party may bring individual claims in Tennessee small claims court.
You waive any right to participate in a class action lawsuit.
16. App Store Terms (Apple & Google)
This EULA is between you and MemoraSync, not Apple or Google.
Apple, Google, and their subsidiaries:
- Are third-party beneficiaries
- Are not responsible for the App's functionality, support, content, or performance
- Are not responsible for claims, damages, or liabilities
- Have no obligation to furnish support or maintenance services
If the App fails to conform to applicable warranties (where required by law), Apple or Google may refund the purchase price (if applicable).
17. Modifications
We may revise this EULA at any time. Updated versions will be posted on our website with a revised effective date.
Your continued use of the App constitutes acceptance of the updated EULA.
